KENT PRO REWARDS – TERMS OF SERVICE

Terms and Conditions updated January 1, 2022
The following are the terms and conditions (the “Terms and Conditions”) of the KENT PRO Rewards Program (“the Program”) offered by KENT BUILDING SUPPLIES, a division of J.D. Irving, Limited (“KENT”). In these Terms and Conditions "you" and "your" refer to any person or entity who registers to be a Member of the Program. The terms "we", "us" and "our" refers to KENT and its affiliates.

By registering for the Program, and by your continued participation in it, you agree to these Terms and Conditions, including any amendments which may be made by KENT from time to time in its sole discretion. Please review these Terms and Conditions carefully. Any amendments will be posted to the Program’s website www.kentpro.ca.

The Program:
KENT PRO Rewards or PRO Rewards is a program that allows eligible commercial customers who create a KENT PRO Online Profile to opt-in to earn KENT PRO Rewards on certain qualifying purchases online or in-store, at participating locations, that can be redeemed for gift cards or KENT products and other benefits described below. Participating locations include all KENT BUILDING SUPPLIES and INDUSTRIAL COMMERCIAL SUPPLY stores (“Participating Locations”). The Program is not offered at ATLAS STRUCTURAL SYSTEMS locations, and purchases at ATLAS STRUCTURAL SYSTEMS locations will not entitle you to receive any benefits under the Program.

No membership fees are required to join the Program.
To receive Program information and/or updates, visit any local Participating Location and speak to the KENT PRO service desk associates who will be able to provide you with further information.

1. ELIGIBILITY, REGISTRATION, MEMBERSHIP, AND COMMUNICATION

ELIGIBILITY: To be eligible to be a Member of the Program (an “Eligible Member”), you must:

(i) have an active commercial account open at a participating KENT store (a “Commercial Account”); and

(ii) be either, (a) an individual over the age of majority in the Province of residence or (b) a person (including without limitation corporations, partnerships, and sole proprietors) (a “Corporate Customer”), who operates a commercial business in Canada under a business or corporate name, including for example, self-employed trades people, businesses, contractors, property management companies, industrial and agricultural operations.

The Program is not open to individuals transacting for personal or household purposes, government, health care, non-profit, J.D. Irving, Limited Affiliates, and employees of KENT. KENT will validate information provided to confirm compliance with the eligibility requirements set out herein. REGISTRATION: To participate in the Program, eligible members must be the owner, or have authority of the owner, aligned to the KENT Commercial Account (a “Commercial Account”), registering for a KENT PRO Online Profile, and opt-in to create a KENT PRO Rewards Account (a “Reward Account”) by doing the following:

(i) visit the Program website (www.kentpro.ca);

(ii) create a PRO Online Profile and opt-in for PRO Rewards

If you cannot provide a valid email address, you will not be able to register in the Program. The valid email address provided during Program registration will be your single account sign in for both PRO Online and PRO Rewards.

You can verify the accuracy of your account information by logging into your PRO Online Profile on the Program Website. Accurate and up-to-date email address information is required in order to receive eGift Card redemptions and PRO Reward program communications.

Any individual registering on behalf of a Corporate Customer must have the authority to do so and the registering individual will be designated as the “Profile Owner” and serve as the main point of contact for all communications related to the Program. Profile Owners may also designate additional persons as “Authorized Users” who have the authority to charge merchandise of any description on the Corporate Customer’s Commercial Account. Eligible purchases made by Authorized Users will also earn PRO Rewards on behalf of the Commercial Customer.

Eligible Members who successfully complete the above registration process will receive a “Confirmation Email” to confirm receipt of registration within 5 business days. Once your information has been validated by KENT a “Welcome email” will be sent to confirm your status as a Member in the Program (“Membership Date”) and you will become members in the Program (each a “Member”).

Upon successful registration in the Program, Members will receive a “KENT PRO Rewards Number”, which is affixed on a physical PRO Rewards card found in-store, or received by email (“PRO Rewards Card”). The PRO Rewards Card acts as an identification method for KENT associates to recall the proper Commercial Account at the KENT point of sale. A Commercial Account can only be aligned to one PRO Rewards Card. The PRO Rewards Card does not store, or contain, any monetary value or PRO Rewards. The PRO Rewards Card does not replace the existing Contractor Express Cards. Contractor Express Card holders are not automatically enrolled in PRO Rewards. Contractor Express Card holders can opt-into PRO Rewards and begin to use a PRO Rewards Card as their account identifier. Upon opting into PRO Rewards, the Contractor Express Card can be destroyed.

The PRO Rewards Card and Program is accepted at all Participating Locations. The PRO Rewards Card is the property of KENT and identifies its holder as a Member of the Program. The PRO Rewards Card is not transferable.

If a PRO Rewards Card is lost, stolen, or destroyed, contact prorewards@kent.ca. KENT can issue a new card on presentation of proper identification, and the old card number will be removed, and new card number will be added to the Member’s Rewards Account.

KENT assumes no responsibility if PRO Rewards have been used by anyone who presents a lost or stolen PRO Rewards Card.

MEMBERSHIP TERMINATION: Providing false information or omitting any information required to complete the Program registration form may be grounds for denial or termination of membership in the Program, and/or cancellation of any benefits. Membership in the Program will automatically terminate if KENT determines that the Member is ineligible under these Terms and Conditions and any benefits earned up to that date may be cancelled. Acceptance and continuation of membership is at the sole discretion of KENT.

Members can view their PRO Rewards account activity on their PRO Online Profile or in the monthly statements delivered to their email. If a Member’s PRO Rewards Account is Inactive for at least 24 months, the membership will be terminated, and the Member’s PRO Rewards will become null and void. For the purposes of this section, “Inactive” means that there has been neither a transaction in which you have collected PRO Rewards, nor a transaction in which you have redeemed PRO Rewards during the period in question.

The Program will continue until further notice. KENT reserves its right to cancel, terminate, modify, amend, or suspend the Program or to amend these Terms and Conditions at any time and in any way, without prior notice. Notwithstanding the foregoing, to the extent required by law, we will provide at least six months’ notice of the discontinuation of the Program after which period all memberships will be terminated, and the Member’s PRO Rewards will become null and void.

COMMUNICATIONS: With your consent, we may from time to time send you by email further updates, newsletters, special offers and other information about the Program as well as other KENT promotions from our marketing partners. You can unsubscribe from such promotional emails at any time by selecting unsubscribe at the bottom of any KENT PRO promotional email or by updating your PRO Online subscriptions.

If any of the information you were required to submit when you registered for the Program changes (such as your first name, last name or email address), you must let us know immediately and give us your current information. We are not responsible if we cannot contact you because of outdated information.

2. QUALIFYING PURCHASES

QUALIFYING PURCHASES: Under these Terms and Conditions, "Qualifying Purchases" are commercial purchases made by a Member(or Authorized User as applicable) at Participating Locations, or online when logged in to Member’s PRO Online Profile, excluding taxes, payments on in-house accounts, cash advances, interest fees, delivery charges, warranties, protection agreements, fees and payments, purchases of gift cards, cut shop and other services, or purchases made at affiliates of J.D. Irving, Limited. PRO Rewards may not be collected retroactively on past purchases or on purchases made prior to the Membership Date. PRO Rewards are earned on the portion of a transaction that is being paid for by redeeming PRO Rewards.

Qualifying Purchases made by Authorized Users will automatically accumulate to the PRO Rewards earned and added to the associated PRO Rewards Account of the corresponding Profile Owner.

If a Member was issued PRO Rewards for an offer or promotion in which a Member purchased product in excess of reasonable household, or construction industry quantities, the PRO Rewards issued as a result of that offer, or promotion, may be forfeited without prior notice. PRO Rewards are earned on the portion of a transaction that is being paid for by redeeming PRO Rewards. PRO Rewards you earn upon making a purchase cannot be redeemed for that purchase and can only be redeemed for a subsequent Qualifying Purchase.

SUBJECT TO CHANGE: Qualifying Purchases are subject to change from time to time. We reserve the right, at any time without notice, to change what constitutes a Qualifying Purchase.

3. HOW TO EARN AND REDEEM KENT PRO REWARDS

EARNING: Members that make Qualifying Purchases on their Commercial Account after registering for the Program will earn PRO Rewards. PRO Rewards offers will be calculated based on the order date of purchase and applicable PRO Rewards will be issued to members when all line items from a Sales Order are invoiced. PRO Rewards are valued the same as cash, where $1.00 in PRO Rewards is equivalent to $1.00 in Canadian Dollars.

PRO Rewards will accrue from the date of the first Qualifying Purchase made with Member’s registered Commercial Account after the Membership Date. PRO Rewards will appear in an “on-hold” status until the members cumulative spend reaches $5,000 in eligible purchases, at which time the accrued on-hold balance will be available to be redeemed. On-hold PRO Rewards are not redeemable and are subject to removal if the terms of the Program are not met or the invoices are not paid within their payment terms. Redeemable PRO Rewards will either be issued automatically by KENT as a lump sum by email on an eGift Card at the end of each quarter or can be redeemed online for online purchases. Quarterly e-Gift Cards will be sent by email with 5 business days of the redemption date.

Quarterly e-Gift Card Redemptions Dates:
• March 31
• June 30
• September 30
• December 31

To “redeem” means to use your PRO Rewards to use your PRO Rewards online as a payment method, or automatically issued as a quarterly eGift Card. PRO Rewards redeemed online cannot be combined with any other payment method and must cover all applicable charges including fees and taxes. Quarterly e-Gift Cards will be redeemed in whole dollars.

PRO Rewards will be calculated as follows:
PRO Rewards based on Qualifying Purchases are earned based on a Member’s Tier at the beginning of each transaction.

Spend Total - Total Value of Qualifying Purchases made by Member in a calendar year Tier Level Reward Collection Rate on Qualifying Purchases Only Examples:
$0 - $24,999 Tier 1 1%

Members will collect 1.0% of their aggregate amount of the Qualifying Purchases purchased within the qualifying period.
Transaction 1: Member spends $1,000. Member earns $1,000 x 1.0% = $10 in their ‘on-hold’ balance.

Transaction 2: Same Member spends an additional $6,000. Member earns $6,000 x 1.0% = $60 in their ‘Redeemable’ Balance, and the $10 will move from ‘On-hold’ to ‘Redeemable’ Balance, for a total of $70 in their ‘Redeemable’ Balance.
$25,000 - $74,999 Tier 2 2%

Members will collect 2.0% of their aggregate amount of the Qualifying Purchases purchased within the qualifying period.
Transaction 1: Member with $30,000 in Total Qualifying Purchases spends an additional $1,000. Member earns $1,000 x 2.0% = $20 in their ‘Redeemable’ Balance.
$75,000 - $124,999 Tier 3 3%

Members will collect 3.0% of their aggregate amount of the Qualifying Purchases purchased within the qualifying period.
Transaction 1: Member with $80,000 in Total Qualifying Purchases spends an additional $1,000. Member earns $1,000 x 3.0% = $30 in their ‘Redeemable’ Balance.
$125,000-$250,000
(Base PRO Rewards Capped at $250,000)
Tier 4 4%

Members will collect 4.0% of their aggregate amount of the Qualifying Purchases purchased within the qualifying period. Members who reach $250,000 in Qualifying Purchases within the calendar year will no longer earn base PRO Rewards for the remainder of the calendar year, but can earn bonus PRO Rewards.
Transaction 1: Member with $200,000 in Total Qualifying Purchases spends an additional $50,000. Member earns $50,000 x 4.0% = $2000 in their ‘Redeemable’ Balance.

Transaction 2: Same Member who is now at the $250,000 in Total Qualifying Purchases spends an additional $10,000 in Qualifying Purchases, they do not earn any new base PRO Rewards.

Members who have achieved $250,000 in Total Qualifying Purchases can still receive Bonus PRO Rewards.


Note: Member’s current tier level is based on cumulative spend within the calendar year and will reset on January 1st each year. The above tier rates apply to all Qualifying Purchases.

The amount of accumulated PRO Rewards for a Rewards Account can be accessed at any time by the Member on their PRO Online Profile. Should the Member think that their balance of PRO Rewards does not correspond to what is indicated on the website, they must advise their KENT sales associate or key contact, or the Participating Location by phone within thirty (30) days of the date indicated on the sales receipt.

The number of PRO Rewards displayed on your account updates, website, email, mobile app, or by any other method, may not reflect your current PRO Rewards balance according to our records.

All PRO Rewards will be deemed correct unless a claimed discrepancy can be substantiated by the Member to the satisfaction of KENT.

REDEMPTIONS: To redeem PRO Rewards online, the Member must have sufficient PRO Rewards at the time of the request for redemption to cover all costs including any taxes, delivery, and fees.

PRO Rewards can be issued as electronic gift cards quarterly. Members with positive Redeemable Balance above $5, and whose account is in good standing, can update their PRO Online Profile to request quarterly electronic gift cards in the amount of their total Redeemable PRO Rewards, delivered by email to the email used to register to the Program. KENT BUILDING SUPPLIES is not responsible for electronic gift cards that are sent to the wrong email address, lost, late, misdirected, mutilated or damaged.

PRO Rewards may be removed from your Rewards Account in the event that invoices are not paid within the payment terms stated on the commercial customer’s KENT in-house charge account.

A Member may not be able to earn or redeem PRO Rewards if its KENT In-house Account is not in good standing at the time PRO Rewards would otherwise be earned or at the time of redemption. Member’s PRO Rewards may be suspended until its KENT In-house account achieves good standing status.

Any and all returns of Qualifying Purchases shall be subject to KENT's return policy. PRO Rewards will be deducted from a Member's Reward Account for merchandise returned. Deductions in PRO Rewards for returned merchandise shall be completed at the time of refund. If a refund or correction is applied to your Commercial Account, your Rewards Account balance will be adjusted up or down by the PRO Rewards related to the refund or correction, as applicable, and your Rewards Account balance may become negative. If the return is made with an associated receipt or invoice, the PRO Rewards deducted will be calculated based on the earning rate of the Member’s Tier at the time of the original purchase, which may be different from the rate at the time of the return. If the return is made without an associated receipt or invoice, the PRO Rewards deducted will be calculated based on the earning rate of the Member’s Tier at the time of the return, which may be different from the rate at the time of the purchase.

Returns for orders paid for with PRO Rewards will be subject to a refund in the form of a KENT Gift Card.

Upon the death (or, in the case of a company, dissolution) of any Member, PRO Rewards will not be issued following the time of death or dissolution and Membership in the Program will be terminated.

We may limit quantities of products on which a single registered Commercial Account may earn PRO Rewards. For example, we may make an offer of additional PRO Rewards on the purchase of a particular product, and state that a Member may only earn PRO Rewards for a single purchase of that product, or for a purchase of any other number we specify. If you earn PRO Rewards in a manner not permitted by these Terms and Conditions or any offer, we may deem, in our sole discretion, any such PRO Rewards to be invalid and cancel them, which will result in the removal of such PRO Rewards from your Account. Examples of PRO Rewards, prizes, or benefits that may be offered include Bonus PRO Rewards, instant savings, dollars off coupons, product offers, personalized pricing, and services offered by Participating Locations or Program Participants.

DISCLAIMER / LIMITATION OF LIABILITY: To the extent permitted by law, we accept no liability for any errors or delays in the PRO Rewards balance displayed in connection with your Rewards Account. If any PRO Rewards are issued to your Rewards Account in error, we reserve the right to deduct the number of PRO Rewards issued in error at any time and without notice to you. We are not obligated to honour a request to redeem PRO Rewards added to a Rewards Account in error.

4. BONUS KENT PRO REWARDS

KENT may, at its sole discretion and according to specific considerations, grant from time-to-time additional PRO Rewards upon purchase of certain products, or for special periods and various promotional operations (“Bonus KENT PRO Rewards”). These additional PRO Rewards will be the object of a specific communication via email, on our website, on the mobile application, in store, and/or in the PRO Flyer. Additional Bonus PRO Rewards on specific products are applicable on purchases paid with cash, credit card, gift card, or charged to the KENT In-house account.

PRO Bonus Rewards, offers, promotions, and other services and programs are offered by KENT, and may be offered to all Members or any group of the Members, as decided by KENT. Any offer or promotion is time limited, and may contain additional terms and conditions, which will apply in addition to these Terms and Conditions. Each offer is only valid once, unless expressly stated otherwise in the terms and conditions of the offer.

On occasion, we, or others acting with our permission, may offer you redemption promotions in certain stores, or for particular products or services, such as an increase in the value of PRO Rewards. There may be additional applicable Terms and Conditions that accompany such promotions.

5. DESCRIPTION OF THE PROGRAM FEATURES AND BENEFITS:

BUSINESS OPPORTUNITIES: A Member may become a certified KENT Installer. To become a certified KENT Installer, the Member must contact their local KENT Store Installation Services department and complete the application form and information sheet from sales and installation services. According to this department's requirements, Member applicants will be called in for an interview; in case of positive results, a business agreement, and a Code of Conduct will be signed between both parties.

A KENT Installer may from time-to-time receive additional Bonus Offers from the Program.

EVENTS INVITATIONS: Members may be invited to various events and opportunities according to their profile and Member Tier. KENT reserves the right to select and invite Members at its sole discretion. A Member who cannot attend an event to which he/she was invited may not necessarily receive an invitation to another event during the same year.

EXCLUSIVE OFFERS AND COUPONS: PRO Rewards exclusive offers will be sent to members by email or made available on the program website or mobile app; those offers will be time limited, may be limited to a number of uses per customer, and applicable during the promotion validity. AIR MILES ® REWARD MILES: Members are eligible to participate in both the AIR MILES program and the PRO Rewards Program, please visit www.kent.ca/airmiles for more details. Members who pay for their orders with cash, credit card, gift card, or Rewards may scan their AIR MILES card to earn 1 AIR MILES Reward Mile for every $20 spent. Members who pay for their orders with their in-house account will earn 1 AIR MILES Reward Mile for every $40 spent and must connect their AIR MILES Collector Number to their KENT in-house account prior to the order. The Member must have a valid AIR MILES card to take advantage of any AIR MILES program and offer value. AIR MILES card applications can be made online, at www.kent.ca/airmiles. This offer can be modified or terminated at any time without prior notice.

PAYMENT OPTIONS: Members may choose to pay for their in-store orders by cash, debit, credit card, gift card, KENT Financing, or in-house charge account. Members may choose to pay for their online orders by, credit card, Apple Pay, Google Pay, PayPal, gift card, PRO Rewards, KENT Financing, or In-House Charge Account. We do not accept credit cards, gift cards, PRO Rewards, KENT Financing, or digital wallets, as payment on KENT In-house charge Account balances.

OTHER FEATURES OF THE PROGRAM: Various in-store promotions and Member-only special events may be added throughout the year.

6. PRIVACY

The KENT’s Privacy Policy (the “Privacy Policy”) applies to the Program, and is available at https://kent.ca/privacy, or upon request. This Privacy Policy may be amended from time to time. By agreeing to these Terms and Conditions, you are also agreeing to the terms of the Privacy Policy and you undertake to review those terms, as such may be amended from time to time.

When you register for the Program, KENT BUILDING SUPPLIES will collect business and personal information, including your first name, last name, or e-mail address. We use this information, in conjunction with authorized representatives and third-party service providers, to administer your participation in the Program and to issue/redeem PRO Rewards. Through your participation in the Program, KENT may gather information about the purchasing behaviour and credit status of its Members which will be used to improve the ways in which we serve the Members and other customers. We may also share your name, contact information and purchase history, including in store and online, with the third-party companies who make those products and their service providers. Additionally, when registering, you will be given the option to opt-in to receive promotional emails from KENT about PRO Services and the PRO Rewards Program, you can unsubscribe at any time. You may also be given the opportunity to provide your personal information to third parties for services and programs related to the Program.

7. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Conditions are governed by the laws of the province of New Brunswick and the federal laws applicable in New Brunswick, without reference to conflict of law’s provisions.

You agree that the sole and exclusive forum and remedy for any and all disputes and claims that cannot be resolved informally and that relate in any way to or arise out of the Program, shall be final and binding arbitration, except to the extent that you have in any manner infringed upon or violated or threatened to infringe upon or violate any intellectual property right of KENT, its parents, affiliates or subsidiaries or any third party, or any privacy or publicity rights, in which case you acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought by KENT, its parents, affiliates or subsidiaries or the applicable third parties.

8. GENERAL TERMS AND CONDITIONS

Fraud or abuse relating to the collection and/or redemption of PRO Rewards will result in your forfeiture of all collected PRO Rewards, as well as termination of your Membership. KENT BUILDING SUPPLIES reserves the right to pursue legal action in the event of fraud, misrepresentation, abuse or violation of these Program Terms and Conditions.

You will cease to earn PRO Rewards upon the date of cancellation and any unused PRO Rewards collected will be declared void, subject to applicable law. In the event of any inconsistency or discrepancy between these Terms and Conditions and other statements contained in any Program-related materials and/or advertising, these Terms and Conditions shall prevail, govern and control.

In the event of a discrepancy between the English language version and the French language version of the Program Terms and Conditions, the English version shall prevail, govern, and control.

You are responsible for protecting and keeping secure your Rewards Account and Loyalty Cards and any password or security questions used in connection with your Rewards Account and Loyalty Cards.

We reserve the right to sell or transfer all or part of the Program to a related company or to a third party, to merge with another entity or to engage in any form of corporate, reorganization or financing transaction. In addition, the manner in which the Program is provided to you and the organizations providing offers in connection with the Program may change. Please refer to our Privacy Policy at https://kentpro.ca/en_ca/privacy for details as to how your personal information would be handled in such cases.

We reserve the right to refuse to allow you or any person you seek to add to your Rewards Account to join the Program for any reason in our sole discretion, including for not meeting the eligibility requirements or for having a membership cancelled previously.

We may, at any time, suspend or cancel your participation in the Program, if, in our view, you have abused any Program privilege, failed to follow these Terms and Conditions, or made any misrepresentation to us or to any entity associated with or participating in the Program. In the event that your participation in the Program is cancelled, all accumulated PRO Rewards in your Rewards Account may also be forfeited and removed from your Account.

9. PROGRAM MODIFICATIONS

KENT BUILDING SUPPLIES may, in its sole discretion and at any time without prior notice either (i) cancel the Program or (ii) except if you are a Member residing in Quebec, Ontario or such other province where prohibited by law, establish a date upon which PRO Rewards will expire and may no longer be used.
